Vendor Terms & Conditions
Effective date: August 11, 2026
These Vendor Terms and Conditions ("Vendor Terms") govern your participation as a service provider ("Vendor") on the Rosy Connect platform. By submitting a vendor application or activating a vendor membership, you agree to be bound by these terms in full.
1. Membership Fees & Auto-Renewal
The annual Vendor Affiliate Membership fee is $1,200 CAD per year. This fee is due upon approval of your application and is charged via the Stripe payment platform.
Your membership automatically renews each year on the anniversary of your activation date. By activating your membership, you authorize Rosy Connect to charge the then-current annual membership fee to your payment method on file at the start of each renewal period.
You will receive a renewal notice by email at least 30 days before your renewal date. To cancel auto-renewal, you must notify Rosy Connect in writing at concierge@rosyconnect.ca no later than 15 days before your renewal date. Cancellations received after this deadline will take effect at the end of the then-current membership year.
Membership fees are non-refundable once charged, except as required by applicable law. Cancellation of membership does not entitle you to a refund of any portion of the annual fee already paid.
2. Lead & Opportunity Fees
In addition to the annual membership fee, a Lead Fee of $10 CAD applies to each lead or service opportunity sent to you by Rosy Connect. A lead is defined as any customer inquiry, booking request, or referral forwarded to you through the Rosy Connect platform or concierge team.
Lead fees are charged to your payment method on file at the time the lead is delivered. You will receive an itemized record of all lead fees charged. Lead fees are non-refundable regardless of whether the lead results in a completed booking.
Rosy Connect reserves the right to adjust the Lead Fee with 30 days' written notice. Continued use of the platform after the effective date of any fee change constitutes acceptance of the revised fee.
4. Vendor Liability & Indemnification
Vendors accept full and sole liability for all services performed, including but not limited to personal injury, property damage, theft, loss, or any other harm arising from or related to the services provided to customers. Rosy Connect bears no liability whatsoever for any acts, omissions, negligence, or misconduct of any Vendor.
Rosy Connect is a technology intermediary and marketplace connector only. It does not supervise, direct, or control the manner in which Vendors perform services. Vendors are independent contractors and are solely responsible for the quality, safety, and legality of their services.
Vendors agree to indemnify, defend, and hold harmless Rosy Connect Inc., its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of or related to: (a) the Vendor's services; (b) any breach of these Vendor Terms; (c) any violation of applicable law; or (d) any claim by a customer or third party arising from the Vendor's conduct.
All Vendors must maintain valid general liability insurance with a minimum coverage of $2,000,000 CAD per occurrence at all times during their membership. Proof of insurance must be provided at application and upon renewal. Rosy Connect reserves the right to request updated proof of insurance at any time.
5. Customer Refunds & Service Disputes
If a customer is not satisfied with a service performed by a Vendor, a full refund of the service fee may be assessed by Rosy Connect at its sole discretion. Rosy Connect will notify the Vendor of any refund request and provide an opportunity to respond within 48 hours.
Where Rosy Connect determines that a full or partial refund is warranted, the Vendor is responsible for reimbursing Rosy Connect for the refunded amount within 7 business days of notification. Failure to reimburse may result in the amount being deducted from future payments or lead to suspension of the Vendor's account.
Rosy Connect's refund assessment is final and binding. Vendors acknowledge that maintaining high service quality is a condition of continued membership and that repeated refund requests may result in termination of the vendor relationship.
6. Appointment Scheduling & Cancellation Policy
Vendors must accept customer appointment schedules as confirmed through the Rosy Connect platform or concierge team. Vendors are expected to honour all confirmed appointments and arrive on time and prepared to perform the agreed service.
If a customer provides at least 24 hours' notice of cancellation or rescheduling, the Vendor may not charge any cancellation fee to the customer. Vendors agree to waive any cancellation or no-show fee in such circumstances.
For cancellations received with less than 24 hours' notice, Vendors may charge a reasonable cancellation fee, provided the fee is disclosed to the customer in advance and is consistent with the Vendor's standard service agreement. Any such fee must be reported to Rosy Connect.
Repeated failure to honour confirmed appointments, or patterns of last-minute cancellations by the Vendor, may result in suspension or permanent removal from the Rosy Connect network.
7. Vendor Conduct & Standards
Vendors must at all times conduct themselves professionally and treat customers with respect. Any reports of harassment, discrimination, dishonesty, or unprofessional conduct will be investigated by Rosy Connect and may result in immediate suspension or termination.
Vendors must maintain all required licences, certifications, and permits for the services they offer. It is the Vendor's sole responsibility to ensure compliance with all applicable federal, provincial, and municipal laws and regulations.
Vendors may not solicit customers introduced through Rosy Connect to bypass the platform for future bookings. Any attempt to circumvent the Rosy Connect platform to avoid lead fees or revenue share obligations is a material breach of these Vendor Terms and may result in immediate termination and legal action.
8. Termination
Either party may terminate the vendor relationship with 30 days' written notice. Rosy Connect may terminate immediately and without notice in cases of material breach, fraud, repeated customer complaints, or conduct that poses a risk to customers or the Rosy Connect brand.
Upon termination, all outstanding lead fees, revenue share amounts, and any refund reimbursements become immediately due and payable. The Vendor's listing will be removed from the Rosy Connect platform within 5 business days of termination.
9. Governing Law
These Vendor Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein. Any disputes arising under these terms shall be resolved in the courts of Ontario.
If any provision of these Vendor Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.
